DRAFT — NOT IN EFFECT

This is a template that needs legal review before it is published. Text in [BRACKETS] must be filled in by Astrix. Nothing on this page is a commitment until the draft notice is removed.

Effective date: [EFFECTIVE DATE]

1. Who these terms are between

These terms are between [LEGAL ENTITY NAME], [REGISTERED ADDRESS] (“Astrix Shop”, “we”) and the business that signs up for the service (“you”, the restaurant). The person who signs up confirms they may bind the business.

2. The service

Astrix Shop provides ordering websites, online ordering, a kitchen screen, POS connections and related tools for restaurants, as described on this site. Features differ by POS system and plan. [LEGAL: DESCRIBE SERVICE LEVELS / SUPPORT, OR STATE NONE]

3. Your account

  • Keep sign-in details safe. You are responsible for what happens under your account, including staff and devices you add.
  • Tell us promptly at [SUPPORT CONTACT] if you think your account has been misused.

4. Fees

  • You pay a monthly price per location, and any add-ons you switch on (such as phone AI, billed by the minute), at the prices shown when you subscribe: [PRICE / BILLING TERMS].
  • We charge no commission and no per-order fees on your own website and phone orders.
  • Payment processors (such as Stripe, Clover or Square) charge their own fees under their own terms. Delivery apps charge their own commission on orders placed through them.
  • [LEGAL: BILLING CYCLE, TAXES, LATE PAYMENT, REFUNDS, PRICE CHANGES NOTICE]

5. Payments to your restaurant

Customer payments go to your own payment account (for example your Stripe account or your POS provider's payments). We never hold your money and never receive card numbers. Your relationship with your payment provider is governed by its terms.

6. Your responsibilities

  • The accuracy of your menu, prices, allergen and other product information, and your opening hours.
  • Your licences and permits, including any needed to sell alcohol; alcohol stays off online ordering unless you confirm licensing.
  • Setting your sales tax rates, and filing and paying your taxes. We record the tax on each order and give you reports.
  • Your own staff, payroll and tip distribution.
  • Getting the consents the law requires before you send marketing messages to your customers.

7. Acceptable use

Do not use the service to break the law, to send messages people did not agree to receive, or to interfere with the service or other restaurants. [LEGAL: EXPAND]

8. Your data

Your restaurant's data and your customers' data belong to you. We process it to provide the service, as described in [DATA PROCESSING TERMS / PLATFORM PRIVACY POLICY]. You can export your records.

9. Ending the service

[LEGAL: HOW EITHER SIDE ENDS THE AGREEMENT, NOTICE PERIOD, SUSPENSION FOR NON-PAYMENT OR ABUSE, DATA EXPORT WINDOW AFTER ENDING]

10. Warranties and liability

[LEGAL: DISCLAIMERS AND LIMITATION OF LIABILITY]

11. Governing law

These terms are governed by the laws of [STATE]. [LEGAL: DISPUTE RESOLUTION]

12. Changes

We will give notice of material changes by [NOTICE METHOD] at least [NOTICE PERIOD] before they take effect.
